These Terms of Service ("Terms") govern your access to and use of the PaaS platform, websites and related services (the "Service") provided by PaaS ("we", "us" or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
PaaS provides software that helps businesses respond to, qualify, route and follow up on customer conversations across connected messaging channels, together with related configuration, analytics and integration features. We may add, change or remove features from time to time.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service, and you must use it for business purposes. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account.
3. Acceptable use
You agree to use the Service lawfully and responsibly. You will not, and will not permit anyone to:
- send spam, or send unsolicited or bulk messages to people who have not opted in or who are outside the permitted messaging windows of the relevant platform;
- use the Service in violation of any applicable law or of the terms and policies of any connected platform (including Meta's Platform Terms, Developer Policies and the WhatsApp Business Messaging Policy);
- send content that is unlawful, deceptive, harassing, hateful, infringing, or otherwise prohibited by a connected platform;
- misrepresent your identity or your affiliation with any person or organisation;
- attempt to gain unauthorised access to, interfere with, or disrupt the Service or its infrastructure;
- reverse engineer, resell or provide the Service to third parties except as expressly permitted.
You are responsible for obtaining any consents required to message the individuals who contact your business and to process their information.
4. Connected platforms and official APIs
PaaS integrates with third-party platforms, including Meta products such as the WhatsApp Business Platform and Instagram, exclusively through those platforms' official APIs. We keep our integrations up to date and operate them in accordance with Meta's Platform Terms, Developer Policies and applicable product terms and instructions. We do not use unofficial or unauthorised access methods.
Your use of any connected platform is also subject to that platform's own terms and policies, and you are responsible for maintaining your accounts and complying with those terms. Platforms may change, limit or discontinue their APIs; where that affects the Service, we will make reasonable efforts to adapt, but we are not responsible for changes outside our control.
5. Customer data and privacy
Our handling of personal information is described in our Privacy Policy. Where we process the personal data of your customers on your behalf, you act as the controller and we act as the processor, and you are responsible for having a lawful basis and any required notices and consents.
6. Fees and payment
Fees for the Service are as agreed between you and us in an order, proposal or subscription. Any prices shown on our website are illustrative and are not an offer; final pricing is confirmed in writing. Unless stated otherwise, fees are exclusive of taxes, are non-refundable except as required by law, and set-up fees are one-time while subscription fees recur for the applicable period.
7. Intellectual property
We and our licensors retain all rights, title and interest in the Service, including all software, content and trademarks (other than your content and third-party marks). You retain ownership of the content and data you provide. You grant us a limited licence to use your content solely to provide and improve the Service. All third-party product names, logos and trademarks are the property of their respective owners; their appearance does not imply endorsement or affiliation.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that automated responses will be accurate or suitable for every situation.
9. Limitation of liability
To the maximum extent permitted by law, PaaS and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless PaaS and its affiliates from any claims, damages, losses and expenses arising out of your use of the Service, your content, or your breach of these Terms or of any connected platform's terms.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required to comply with law or a connected platform's requirements, or to protect the Service or other users. On termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-laws principles. The courts of Dubai, United Arab Emirates will have exclusive jurisdiction over any dispute, unless mandatory law provides otherwise.
